Mr. Mackowski, a manager and partner of Telegraph Hill Partners Management Company, LLC ("THPMC"), is a member of the board of directors of the Issuer. THPMC and certain of its affiliates have filed a separate Form 3 reporting derivative securities of the Issuer that they may be deemed to beneficially own.
