Mr. Grossman, a partner of Telegraph Hill Partners Management Company, LLC ("THPMC"), is a member of the board of directors of the Issuer. THPMC and certain of its affiliates have filed a separate Form 3 reporting derivative securities of the Issuer that they may be deemed to beneficially own. Mr. Grossman disclaims beneficial ownership of any securities of the Issuer that may be deemed to be benefically owned by THPMC and its affiliates.
