The Class B ordinary shares beneficially owned by ATAC Sponsor LLC (the "Sponsor") include up to 750,000 shares subject to forfeiture depending on the extent to which the underwriters' over-allotment option to purchase additional units is exercised in connection with the Issuer's initial public offering, as described in the Registration Statement.
