F1 A trust for the benefit of the Reporting Person's family owned 15 shares of common stock on July 9, 2021, the date on which the Reporting Person became a director of Splunk Inc. (the "Issuer").
F2 The reported securities are represented by restricted stock units, 2,765 of which will vest in three equal annual installments beginning on July 9, 2022 and 1,955 of which will vest on the day prior to the Issuer's 2022 Annual Meeting of Stockholders.
F3 These securities are held by Mr. Hao for the benefit of Silver Lake Technology Management, L.L.C., certain of its affiliates, and certain of the funds they manage ("Silver Lake").
