The RSUs will vest on the earlier of (i) the date of the next annual meeting of stockholders of the Issuer following June 16, 2022 or (ii) June 16, 2023.
F2 The shares are held of record by TDB Capital LLC, for which the Reporting Person is a managing member and shares voting and investment control with respect to such shares.
