F1 The restricted stock units vest in one installment on August 15, 2022, subject to Mr. Galligan's (as defined below) Continuous Service (as defined in the 2014 Equity Incentive Plan) on such vesting date.
F2 Kevin G. Galligan ("Mr. Galligan"), a Partner of the Reporting Person who currently serves on the board of directors of the Issuer, has assigned all rights to the grant to the Reporting Person. Pursuant to the assignment, settlement of the award on vesting will be made to the Reporting Person. The Reporting Person disclaims any beneficial ownership of any of the Issuer's securities reported herein except to the extent of its pecuniary interest therein.

Remarks:

The Reporting Person may be deemed to be a director by deputization for purposes of Section 16 under the Securities Exchange Act of 1934 by virtue of the fact that Mr. Galligan currently serves on the board of directors of the Issuer.
