F1 The Reporting Person purchased 500,000 units at $10.00 per unit, each unit consisting of one Class A ordinary share and one-quarter of one redeemable warrant.
F2 Securities held directly by TCS Capital Advisors, LLC ("TCS Advisors"). TCS Capital Management, LLC ("TCS Management"), as the investment advisor of TCS Advisors, may be deemed to beneficially own the securities held directly by TCS Advisors. Mr. Semler, as the managing member of TCS Management, may be deemed to beneficially own the securities held directly by TCS Advisors. Mr. Semler disclaims beneficial ownership of the securities reported herein except to the extent of his pecuniary interest therein, and this report shall not be deemed to be an admission that Mr. Semler is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
F3 The Warrants will become exercisable 30 days after the completion of the Issuer's initial business combination.
F4 The Warrants will expire five years after the completion of the Issuer's business combination or earlier upon redemption or liquidation.
