Id Content
F1 Represents shares of Common Stock underlying restricted stock units ("RSUs") subject to time-based vesting, granted to the Reporting Person pursuant to the Issuer's Non-Employee Director Compensation Plan as an Annual Award (as defined in such plan) with the number of RSUs prorated for the portion of the performance year for which the Reporting Person did not waive such award, and subject to the Issuer's Omnibus Equity Incentive Plan.
