(the "Issuer") is convertible into shares of common stock of the Issuer ("Common Stock") at the holder's election on an 8.474-for-1 basis and has no expiration date. All shares of Series C Convertible Preferred Stock will automatically convert on an 8.474-for-1 basis into shares of Common Stock immediately prior to the closing of the Issuer's initial public offering of its Common Stock.
