(the "Company"), underlying restricted stock units granted under the Company's 2011 Equity Incentive Plan (the "Plan") on August 20, 2025, one third of which may be deliverable to Mr. Shure on May 28, 2027, May 30, 2028 and May 25, 2029, provided Mr. Shure is employed by the Company on the respective vesting dates, subject to the terms and conditions of the Plan.
