F1 These restricted stock units ("RSUs") were granted to the Reporting Person on August 11, 2021, and represent a contingent right to receive one share of Common Stock for each RSU. In connection with the vesting of these RSUs on August 11, 2022*, the Reporting Person's receipt of 36,064 shares of Common Stock was deferred pursuant to the Reporting Person's election under the Issuer's deferred compensation plan, and the Reporting Person instead received 299 shares of Common Stock. Because these RSUs may only be settled in Common Stock, both the RSUs and Common Stock are being reported in Table I.
