These shares represent the shares of Common Stock of Sterling Bancorp, Inc.(the "Common Stock") owned by the Trust. On August 5, 2021, Mr. J. Thomas MacFarlane was appointed as a Family Co-Trustee of the Trust. Mr. MacFarlane and Mr. Rubenstein share investment and voting power over the shares of Common Stock held by the Trust. Mr. Rubenstein has no pecuniary interest in the Common Stock held by the Trust, and disclaims beneficial ownership of such Common Stock.
