F1 Pursuant to an exchange agreement, the Reporting Person exchanged 3,074,349 Blackstone Holdings partnership units (as defined below) for an equal number of shares of Common Stock of Blackstone Inc.
F2 Represents a sale of common stock pursuant to a block trade at a price of $134.45 per share.
F3 Represents a repurchase of shares of common stock by the Issuer from the Reporting Person and certain trusts and limited liability company for the benefit of the Reporting Person's family for a price of $134.45 per share, the same price at which such sellers sold shares in the block trade referenced in footnote 2 above.
