F1 Mr. Berman is the general partner of Avon Road.
F2 On January 18, 2023, the Issuer and the Reporting Person entered into a securities purchase agreement (the "Purchase Agreement") pursuant to which the Reporting Person acquired from the Issuer in a private placement: (i) $2,000,000 in principal amount of senior secured notes (the "Notes"); and (ii) warrants to purchase up to 1,000,000 shares of common stock with an exercise price of $2.00 per share (the "Warrants"). The aggregate subscription amount paid by the Reporting Person for the Notes and Warrants acquired by it pursuant to the Purchase Agreement was $2,000,000.
