F1	On December 2, 2021, Josselin Capital Advisors, Inc. ("JCA"), over which the reporting person has voting and investment control, was granted an option to purchase 65,000 shares of common stock. The option vests based on the satisfaction of certain performance criteria by Stran & Company, Inc. (the "Issuer"). On the same date, JCA also became entitled to awards of up to 60,000 shares of common stock subject to the satisfaction of certain performance criteria by the Issuer. On March 11, 2022, the Compensation Committee of the Board of Directors of the Issuer determined that the performance criteria for the vesting of the option as to a total of 20,000 shares of common stock and to the award of 20,000 shares of common stock had been met, resulting in vesting of the option as to 20,000 shares and the award of 20,000 shares of common stock to JCA.
F2	Subject to vesting over a three (3) year period with one-third (1/3) of the restricted stock and options vesting on each of the first, second and third anniversaries of the date of grant (November 12, 2021).
