F1	Pursuant to a securities purchase agreement dated December 27, 2024, the reporting person exchanged outstanding principal and interest under certain promissory notes of approximately $7.6 million due from the Issuer for 2,215,664 shares of common stock of the Issuer valued at $3.43 per share, which was the closing trading price of the Issuer's common stock on December 27, 2024.
F2	These shares are held directly by the Rudolph V. Renda, Jr., 2015 Irrevocable Trust ("Trust A"), a family trust established for the benefit of the immediate family of the reporting person. The reporting person is the sole trustee of Trust A.
