F1 Shares received pursuant to Rule 16b-3(d) in connection with sale of the membership interests in VidaCann, LLC ("VidaCann") pursuant to a Membership Interest Purchase Agreement dated August 28, 2023 by and between Planet 13 Holdings Inc. ("Planet 13"), VidaCann and the parties listed thereto (the "VidaCann Acquisition"). On May 10, 2024, the closing date of the VidaCann Acquisition, the closing price of the shares of Planet 13 on the Canadian Securities Exchange was C$0.82 per share.
F2 Mr. Loop is the President/CEO of Loop's Nursery and Greenhouses Inc. ("Nursery"). Mr. Loop, through the David Loop Irrevocable Trust, has a 15% ownership interest in Nursery. Mr. Loop disclaims beneficial ownership in such shares pursuant to Rule 16a-1(a)(4) except to the extent of any pecuniary interest held therein.
F3 Mr. Loop is the President/CEO and Manager of Loop's Dispensaries LLC ("Dispensaries"). Mr. Loop has no ownership interest in Dispensaries. Mr. Loop disclaims beneficial ownership in such shares pursuant to Rule 16a-1(a)(4).
