F1 Each restricted stock unit represents a contingent right to receive one share of IMAC Holdings, Inc. (the "Company") common stock.
F2 Securities held by ELOS Sports and Entertainment, LLC ("ELOS"). Mr. Evans may be deemed to beneficially own the securities held by ELOS. Mr. Evans expressly disclaims beneficial ownership of such securities except to the extent of his pecuniary interest therein.
F3 On October 31, 2020, the Company granted Mr. Evans restricted stock units for 100,000 shares of the Company's common stock covering two years of service as a director, vesting in eight equal quarterly installments commencing on February 1, 2021, provided Mr. Evans remains a director of the Company.
