F1 The securities were purchased by Regalia Ventures LLC ("Regalia"), an entity wholly owned by Mr. Foreman, pursuant to a Stock Purchase Agreement, dated as of November 20, 2023 (the "Purchase Agreement"). The transactions contemplated by the Purchase Agreement were consummated on November 21, 2023. Mr. Foreman is deemed to have voting and investment power with respect to the shares held of record by Regalia.
F2 Consists of 31,867 shares held directly by Mr. Foreman and 1,098,901 shares held directly by Regalia.

Remarks:

This Form 4 is the first of two Section 16 filings relating to the same event. A Form 3 will be filed by Regalia relating to the same event, and any subsequent Section 13 or Section 16 filings with respect to the securities of the Issuer will be filed jointly by Mr. Foreman and Regalia.
