F1 These securities of TRxADE HEALTH, INC. (the "Issuer") were issued to Narasimhan Mani in connection with the closing of the acquisition of Scienture, Inc. ("Scienture") by the Issuer on July 25, 2024 (the "Merger") pursuant to an Agreement and Plan of Merger entered into by the Issuer, certain subsidiaries of the Issuer, and Scienture (the "Merger Agreement").
F2 These shares of the Issuer's Series X Non-Voting Convertible Preferred Stock, par value $0.00001 per share (the "Preferred Stock"), have no expiration date. On the 20th calendar day following the mailing of an information statement on Schedule 14C that the Issuer is filing with the Securities and Exchange Commission and mailing to its stockholders in connection with the closing of the Merger, these shares of Preferred Stock will automatically convert on a 1-for-1 basis into fully paid and nonassessable shares of the Issuer's common stock, par value $0.00001.
F3 These shares of Preferred Stock are owned directly by Srivatsav, LLC ("Srivatsav"). As the Managing Member of Srivatsav, Mr. Mani may be deemed to be the indirect beneficial owner of securities held by Srivatsav. Mr. Mani disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.
