F1	Restricted stock unit award ("RSU") granted as an annual equity grant to non-employee directors pursuant to the Company's Outside Director Compensation Policy under the Amended and Restated 2003 Stock Plan. The RSU will fully vest on the one-year anniversary of the date of grant, subject to the director's continuous service as a member of the Board immediately prior to such date. If the director ceases service prior to such date, the unvested RSU will be forfeited to the Company.
