F1 Represents the number of shares sold by the Reporting Person to cover tax withholding obligations in connection with the vesting and settlement of 25,000 time-based restricted stock units (RSUs) that vested on March 19, 2025. Those RSUs were initially granted as performance-based restricted stock units (PSUs), and converted to time-based RSUs as a result of a performance objective achieved by the Issuer on September 19, 2024. This sale is mandated by the Issuer's election under its equity incentive plans to require the satisfaction of tax withholding obligations to be funded by a "sell-to-cover" transaction and does not represent a discretionary trade by the Reporting Person. The Reporting Person has executed an instruction letter for the automatic sale of such "sell-to-cover" shares, intended to satisfy the affirmative defense conditions of Rule 10b5-1.
