Ms.Cassandra DeNunzio is the sole member and manager of Sparx Technologies, LLC and Sparx Holdings, LLC. She is also the sole officer, and a director of the Issuer. Ms. DeNunzio disclaims beneficial ownership of the Shares reported herein except to the extent of her or Sparx Holdings, LLC pecuniary interest therein, and this report shall not be deemed to be an admission that any Reporting Person is the beneficial owner of such Shares for purposes of Section 16 or for any other purpose.
