VEP Group, LLC is no longer subject to Section 16 filing requirements. Form 4 or Form 5 obligations may continue.
Robert F. Smith is the sole Managing Member of VEP Group. Consequently, Mr. Smith and VEP Group may be deemed the beneficial owners of the shares held by VEP Group's subsidiaries. Each of VEP Group and Mr. Smith expressly disclaims beneficial ownership of any shares not held directly. Following an issuance of shares of Issuer Common Stock on April 1, 2024, shares of Issuer Common Stock held directly by subsidiaries of VEP Group, LLC, or the VEP Group, represented a less than 10% of the total number of outstanding shares of Issuer Common Stock. As a result, as of April 1, 2024, neither Robert F. Smith nor VEP Group are subject to Section 16.
