| F1 | The shares of common stock of Organicell Regenerative Medicine, Inc., a Nevada corporation (the "Company") were disposed of and acquired, respectively, pursuant to an Exchange Agreement dated October 29, 2021 (the "Agreement"), whereby the Reporting Person exchanged shares of common stock of the Company previously issued under (i) the Organicell Regenerative Medicine, Inc. Management and Consultants Performance Stock Plan and (4,500,000 shares) (ii) the contractual arrangement of the Reporting Person with the Company (500,000 shares) for shares of common stock of the Company in the Organicell Regenerative Medicine, Inc. 2021 Equity Incentive Plan. The newly issued shares shall vest on December 31, 2023. |
