Following the resignation of Dr. Mary Louise Cummings as a director of the Issuer in connection with her appointment as Senior Advisor for Safety at the National Highway Traffic Safety Administration, Dr. Cummings disposed all of her 20,648 vested shares of Issuer common stock to the Issuer in a transaction approved by the Board of Directors of the Issuer, at a purchase price of $35.20 per share (the closing price of Issuer's common stock on October 29, 2021, the last trading day prior to the effectiveness of Dr. Cummings's resignation).
