In connection with the transactions contemplated by the Agreement and Plan of Merger, dated as of December 1, 2020 (the "Merger Agreement"), by and among salesforce.com, inc. ("Salesforce"), Skyline Strategies I Inc., Skyline Strategies II LLC, and the Issuer, the Reporting Person's RSUs were accelerated and became fully vested upon the effective time of the merger.
