F1 Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of common stock of Sunnova Energy International Inc. ("Common Stock").
F2 The sale of such shares of Common Stock was authorized by the reporting person in order to meet tax obligations upon vesting March 17, 2025 and further settlement.
F3 Such shares of Common Stock are held in an IRA under the reporting person's spouse.
F4 The remainder of the RSUs vesting associated with this July 29, 2019 grant has been accelerated, which is the number of restricted stock units that would have vested under the applicable award had Mr. Berger remained employed by the Company through July 29, 2026.
