F1 The reported securities were sold in a block sale at a per share price of $9.
F2 The reported securities are owned by Ontario Teachers' Pension Plan Board ("OTPP"). OTPP has delegated to each of Messrs. Inaki Echave, Eric Hargrave and Jonathan Mendonca the authority to implement disposition decisions with respect to shares held by OTPP; however, approval of such decisions is made by senior personnel within the private capital group of OTPP in accordance with internal portfolio guidelines. As such, each of Messrs. Echave, Hargrave and Mendonca expressly disclaims beneficial ownership of such shares.

Remarks:

OTPP is party to a Stockholders Agreement with Viasat, Inc. (the "Issuer") and certain stockholders of the Issuer, and a Coordination Agreement with certain stockholders of the Issuer. As a result of such agreements, the Reporting Person may be deemed to be a member of a "group" as defined in Rule 13d-5 of the Securities Exchange Act of 1934, as amended, with certain other stockholders. The Reporting Person disclaims beneficial ownership of any securities of the Issuer owned by any member of such group, other than the securities reported in Table 1 of this Form 4.
